Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Watchborg Inc., a federally incorporated Canadian corporation (“Watchborg”, “we”, “our”, or “us”), governing your access to and use of the Watchborg website, mobile applications, browser-based recording tools, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least eighteen (18) years of age to use the Services.

By using the Services, you represent and warrant that:

  • You are at least 18 years old.
  • You have the legal authority to enter into this agreement.
  • You will comply with all applicable laws and regulations.

2. Description of Services

Watchborg provides technology that enables users to create guided video walkthroughs, collect visual documentation, and distribute inspection requests to third parties.

Watchborg may:

  • Create inspection templates.
  • Guide participants through video recording workflows.
  • Process submitted videos.
  • Generate reports and notifications.
  • Deliver submitted content to third-party platforms, including YouTube accounts designated by users.

Watchborg is a technology platform only and is not an inspection company, property manager, investigator, auditor, insurer, security company, or legal service provider.

3. User Accounts

Certain Services require a registered account.

You are responsible for:

  • Maintaining the confidentiality of your account.
  • All activities occurring under your account.
  • Providing accurate information.

You must immediately notify Watchborg of any unauthorized use of your account.

4. Inspection Participants

Watchborg may permit individuals to participate in inspections through browser-based links without creating an account.

Such participants are still bound by these Terms.

The account holder who creates an inspection remains responsible for the inspection and all participants acting on their behalf.

5. User Content

Users may upload or submit:

  • Videos
  • Photographs
  • Notes
  • Inspection data
  • Comments
  • Metadata

(collectively, “User Content”)

You retain ownership of your User Content.

You grant Watchborg a limited worldwide license to:

  • Receive
  • Store temporarily
  • Process
  • Analyze
  • Transmit
  • Deliver

User Content solely for the purpose of operating the Services.

6. Recording Permissions and Consents

You are solely responsible for obtaining all required permissions, authorizations, and consents necessary to:

  • Record video.
  • Capture images.
  • Upload content.
  • Share content.
  • Deliver content to third parties.

You represent and warrant that all submitted content has been lawfully obtained.

Watchborg is not responsible for determining whether recording or sharing content is lawful in any jurisdiction.

7. Temporary Storage and YouTube Delivery

Watchborg may temporarily store uploaded content solely for processing and delivery purposes.

Content may be delivered to YouTube accounts or other destinations specified by users.

Watchborg does not guarantee:

  • Successful delivery.
  • Continued availability.
  • Preservation of content.
  • Third-party platform acceptance.

Once content has been successfully delivered, Watchborg may delete temporary copies from its systems.

8. Credits and Payments

Certain Services require the purchase of credits.

Credits:

  • Have no cash value.
  • Are non-transferable.
  • Are non-refundable except where required by law.
  • May expire if disclosed at the time of purchase.

Watchborg reserves the right to modify pricing at any time.

Unused credits are not redeemable for cash.

9. Prohibited Conduct

You may not use the Services to:

  • Violate any law.
  • Harass, threaten, or abuse others.
  • Upload unlawful content.
  • Upload sexually explicit content.
  • Upload content that infringes intellectual property rights.
  • Upload malware or harmful software.
  • Impersonate another person.
  • Circumvent security features.
  • Interfere with operation of the Services.

Watchborg may suspend or terminate accounts for violations.

10. Third-Party Services

The Services may integrate with third-party providers including:

  • Google
  • YouTube
  • Stripe

Your use of such services may be subject to separate agreements with those providers.

Watchborg is not responsible for:

  • Account suspensions.
  • Service outages.
  • Content removals.
  • Policy decisions made by third-party providers.

11. Intellectual Property

Watchborg and its associated software, trademarks, logos, designs, and content are owned by Watchborg Inc. or its licensors.

Except as expressly permitted, you may not:

  • Copy
  • Modify
  • Reverse engineer
  • Distribute
  • Resell

any part of the Services.

12. No Professional Advice

The Services are provided for informational and documentation purposes only.

Watchborg does not provide:

  • Legal advice
  • Engineering advice
  • Insurance advice
  • Property management advice
  • Safety certifications

Users must independently evaluate all information generated through the Services.

13. No Guarantee of Accuracy

Watchborg does not guarantee that:

  • Videos are complete.
  • Reports are accurate.
  • Required areas were actually inspected.
  • Submitted content is authentic.
  • Any inspection meets regulatory requirements.

Users are solely responsible for verifying all information.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WATCHBORG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHBORG SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost data
  • Business interruption
  • Property damage
  • Personal injury
  • Indirect damages
  • Consequential damages

WATCHBORG’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

(A) CAD $50

OR

(B) The amount paid by you to Watchborg during the preceding twelve months.

16. Indemnification

You agree to defend, indemnify, and hold harmless Watchborg Inc., its officers, directors, employees, contractors, and affiliates from any claims arising out of:

  • Your use of the Services.
  • User Content you submit.
  • Violations of these Terms.
  • Violations of law.
  • Violations of third-party rights.

17. Suspension and Termination

Watchborg may suspend or terminate access to the Services at any time for violations of these Terms or for operational, security, or legal reasons.

18. Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Ontario, Canada.

The arbitration shall be conducted in English.

Each party waives the right to trial by jury and participation in class actions.

19. Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

20. Changes to Terms

Watchborg may modify these Terms at any time.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
